MAXX CICLO LTDA — CNPJ 42.153.960/0001-31 — support@melosy.io

1. Identification and purpose

1.1. This platform ("Melosy" or "System", available at sistema.melosy.io) is operated by MAXX CICLO LTDA, enrolled with the Brazilian corporate taxpayer registry (CNPJ) under No. 42.153.960/0001-31 ("Melosy", "we"). Contact and support channel: support@melosy.io.

1.2. Melosy is a business management platform (customers, products, services, sales, quotes, expenses and finances) that includes a CONDUIT tool for issuing Brazilian electronic tax documents (NF-e, NFC-e and NFS-e): the System formats and transmits to government agencies the data entered by the issuer, and is not responsible for the tax content of that data (see clause 4).

1.3. By accepting these Terms, the customer ("Customer", "you") enters into a license agreement for the use of the System, on a subscription basis, governed by these clauses and by the Privacy Policy (a complementary document, available at melosy.io/privacy).

2. Customer representations (business use)

2.1. The Customer represents that they use the System in the course of their business activity (as a Brazilian MEI, individual entrepreneur or legal entity), as an input to their operation, and do not qualify as an end consumer of the services for the purposes of consumer protection rules.

2.2. The Customer represents that they are over 18 years of age and legally capable, and, when contracting on behalf of a legal entity, that they have powers to represent it.

2.3. The Customer represents that they had the opportunity to read these Terms and the Privacy Policy in full before acceptance, and to clarify any questions through support@melosy.io.

2.4. The Customer acknowledges that the risk allocation set out in these Terms — including the limitations and exclusions of liability — was taken into account in the pricing of the subscription, and that without it the price would be different.

3. Account, access and multi-user

3.1. The Customer undertakes to provide true, accurate and up-to-date registration data, and to keep it so throughout the term of the agreement.

3.2. Access credentials (login and password) are personal and non-transferable. The Customer is responsible for keeping them confidential. Every act performed through the Customer's login is deemed an act of the Customer.

3.3. The System allows granting access to third parties (employees, accountants and other companies) through the official multi-user feature. The account holder is responsible for the access they grant — for the acts performed by their invitees within the System and for revoking such access in a timely manner when it is no longer needed.

3.4. Melosy may require additional identity verifications (for example, phone confirmation) as a condition for using specific features.

4. Issuance of tax documents

4.1. In tax issuance, Melosy acts exclusively as a conduit tool: it formats and transmits to government systems (SEFAZ, municipal authorities and the like) the data entered by the issuer. Melosy does not perform its own tax calculations, does not change the data provided, and does not provide tax, fiscal or accounting advice.

4.2. It is the exclusive responsibility of the Customer (issuer), with the support of their accountant: (i) the tax configuration of their products and services (NCM, CFOP, CST/CSOSN, rates, tax codes — including those of the new IBS/CBS standard); (ii) checking the amounts and the documents issued; and (iii) complying with their ancillary tax obligations.

4.3. Tax penalties, fines, disallowances and assessments arising from incorrect data, improper configuration or misuse of the tool are the exclusive responsibility of the issuer.

4.4. The rejection, denial or unavailability of authorization of a tax document by government agencies (due to data errors, pending registration issues of the issuer, instability of SEFAZ/municipal systems or similar reasons) does not constitute a failure of Melosy nor gives rise to any right to compensation.

4.5. Plans include an allowance of 100 (one hundred) authorized tax documents per month; anything beyond that is charged at R$ 0.99 (ninety-nine cents of a Brazilian real) per additional document, as per the pricing page in force at melosy.io.

5. A1 digital certificate

5.1. Tax issuance requires a valid A1 digital certificate owned by the Customer. It is the Customer's exclusive responsibility to upload the certificate to the System, keep its password and renew it before expiration.

5.2. An expired or revoked certificate, or an incorrect password, prevents issuance, and this does not constitute a failure of Melosy.

5.3. Melosy stores the certificate in an encrypted and segregated manner (secrets vault), as a best-efforts obligation, applying the security measures described in the Privacy Policy.

6. Subscription, trial period and refund

6.1. The System is contracted through a recurring subscription (monthly, quarterly or annual), processed by Stripe, at the prices of the pricing page in force at the time of contracting or renewal.

6.2. New accounts may start with a 7-day trial period. Data entered during the trial may be deleted if the subscription is not converted, after the operational retention period.

6.3. Refund guarantee — 7 days: new subscribers may request a full refund within 7 (seven) days counted from the first charge, through support@melosy.io. The refund is processed within 5 (five) business days through the same payment method.

6.4. After the guarantee period, cancellation prevents new charges but does not generate a proportional (pro-rata) refund of periods already paid; access remains active until the end of the current cycle.

7. Non-payment

7.1. In the event of failure or absence of payment upon renewal, access to the System (including tax issuance) is suspended immediately, with only the subscription regularization area remaining available.

7.2. Once payment is regularized, access is automatically restored.

7.3. The Customer's data is retained for 90 (ninety) days counted from the interruption of payment. Within this period, the Customer may reactivate the subscription or request the export of their data from support (support@melosy.io — see clause 12). After this period, Melosy may permanently delete the data, without being obliged to do so.

8. Availability

8.1. Melosy uses commercially reasonable efforts to keep the System continuously available, without guaranteeing a specific uptime percentage.

8.2. The following do not constitute a failure of Melosy and are expressly excluded from any liability: (i) scheduled or emergency maintenance; (ii) acts of God and force majeure; (iii) failures in the Customer's connection or equipment; and (iv) unavailability of third-party services on which the System depends — including SEFAZ and municipal authorities, payment processors (Stripe) and cloud infrastructure providers.

9. Limitation of liability

9.1. To the maximum extent permitted by applicable law, Melosy is not liable for indirect damages, loss of profits, loss of revenue, loss of data, loss of opportunity or consequential damages arising from the use of, or inability to use, the System.

9.2. To the maximum extent permitted by applicable law, Melosy's total liability, for any cause related to this agreement, is limited to the equivalent of 3 (three) monthly fees of the plan contracted by the Customer. For quarterly or annual plans, the equivalent monthly fee is the cycle amount divided by the number of months in the cycle.

9.3. The limitations in this clause do not apply in cases of willful misconduct or gross negligence by Melosy, nor to situations where the law prohibits the limitation of liability.

10. Indemnification by the Customer

10.1. The Customer shall indemnify and hold Melosy harmless from losses, damages, expenses and reasonable fees arising from: (i) use of the System in violation of these Terms or the law; (ii) data, content and documents entered or issued by the Customer; and (iii) violation of third-party rights by the Customer or their invitees.

11. Data protection (LGPD)

11.1. In the processing of personal data of end customers, suppliers and contacts registered by the Customer in the System, the Customer is the Controller and Melosy is the Processor, processing such data according to the Customer's instructions and the Privacy Policy.

11.2. For the Customer's own registration and usage data, Melosy is the Controller, as set out in the Privacy Policy.

11.3. The Customer is informed that Melosy uses its own and third-party tools for diagnostics, usage analytics and session recording (screen replay) for support, security and product improvement, with masking of sensitive data (passwords, card data and digital certificate). The tools in use are identified in the Privacy Policy.

11.4. Melosy maintains database backup routines. Even so, the Customer must keep their own exports of the critical data of their business (export is available in the System's modules — clause 12).

12. Data retention and export

12.1. While the subscription is in force, the Customer exports their data autonomously, through the export features of the System's modules (Customers, Expenses, Finance, Income and Orders, among others).

12.2. After the subscription ends (cancellation or non-payment), access is suspended (clause 7) and export is performed upon request to support (support@melosy.io), within the same 90 (ninety) day retention period of clause 7.3.

12.3. After the retention period, Melosy has the right (not the obligation) to permanently delete the data, subject to retentions required by law and the acceptance record described in the Privacy Policy.

13. Intellectual property and feedback

13.1. The System, its brand, code, layout, databases and other elements are the exclusive property of Melosy or its licensors. The subscription grants the Customer a limited, non-exclusive and non-transferable license of use for the term of the agreement.

13.2. Suggestions, ideas and feedback submitted by the Customer may be freely used by Melosy under a perpetual, irrevocable and royalty-free license, without giving rise to any right to remuneration or participation.

14. Beta and experimental features

14.1. Features identified as beta, experimental or pre-release are provided "as is", with no guarantee of operation, availability or continuity, and may be changed or discontinued without notice.

14.2. Melosy's total liability related to beta features is limited to R$ 100.00 (one hundred Brazilian reais).

15. Changes to these Terms

15.1. These Terms may be updated at any time, with publication of the new version at melosy.io/terms, and prior notice where required by law.

15.2. No material change is effective through silence or continued use: the new version only binds the Customer upon a new active acceptance, electronically recorded on the platform (with date and time, version, IP address, browser identification and displayed language).

15.3. If the Customer does not agree with a material change, they may terminate the subscription without any fine or penalty, keeping access until the end of the period already paid. Nothing is imposed: the Customer either actively accepts the new version or terminates the agreement without prejudice.

15.4. Non-material adjustments (wording corrections, clarity, contact details) may be incorporated without a new acceptance.

16. General provisions

16.1. Force majeure: neither party is liable for non-performance caused by acts of God or force majeure (art. 393 of the Brazilian Civil Code). The occurrence of force majeure does not exempt the payment of amounts already due.

16.2. Law and venue: this agreement is governed by the laws of the Federative Republic of Brazil. The courts of the judicial district of MAXX CICLO LTDA's registered office are elected, with waiver of any other, however privileged, subject to non-waivable legal jurisdictions.

16.3. Severability: the possible nullity or ineffectiveness of one clause does not affect the others, which remain valid and effective.

16.4. Language: the Brazilian Portuguese version of these Terms is the official version and prevails over translations (English and Spanish are provided as a courtesy).

16.5. Assignment: the Customer may not assign this agreement without Melosy's prior consent. Melosy may assign it in the event of corporate reorganization, merger, acquisition or similar transaction.

16.6. Service evolution: the System's features may evolve, be improved or replaced over time, without mischaracterizing the contracted purpose.

16.7. Headings: clause headings are for organizational purposes only and do not limit their interpretation.

17. Acceptable use and prohibited conduct

17.1. The Customer and their invitees may not: (i) reverse engineer, decompile or attempt to access the System's source code; (ii) resell, sublicense, rent or share access outside the official multi-user feature; (iii) engage in scraping, abusive automation or deliberate overload of the infrastructure; (iv) use the System for illegal activity or for issuing fraudulent tax documents; (v) use the System to develop a competing product.

17.2. This clause objectively supports the measures in clause 18.

18. Suspension and termination for violation

18.1. In the event of a violation of these Terms, Melosy may suspend or terminate the Customer's access, subject to the following: (i) for curable violations, the Customer will be notified (through the registered e-mail or the platform) and will have a reasonable period, of no less than 5 (five) business days, to cure; (ii) for fraud, illegality or risk to the platform, third parties or data security, suspension may be immediate.

18.2. If the agreement is terminated for violation, data retention and export follow clauses 7 and 12 (same 90-day period), subject to the retention necessary for investigation and defense in the event of fraud.
